1. Introduction
This Seller/Vendor Policy (Agreement) governs all activities, responsibilities, and obligations of sellers (“you” or “seller”) registered on the Digikray Multi-Vendor E-Commerce Platform.
By registering, listing products, or selling through Digikray, you confirm that you have read, understood, and agreed to comply with all the terms mentioned herein.
This agreement is legally binding, and any violation may lead to account suspension, penalty, or permanent delisting without prior notice.
2. Seller Registration and Verification
- Every seller must complete KYC verification before listing any products.
- Required documents include:
- PAN card, Aadhaar, and bank details
- GST registration certificate (if applicable)
- Business address proof
- Digikray reserves the absolute right to approve, reject, or suspend any seller account at any time without providing a reason.
- Providing false or misleading information will lead to immediate account termination and forfeiture of any pending payments.
3. Product Listing and Content Rules
- Sellers must ensure all listed products are authentic, legal, and in working condition.
- Product descriptions, prices, and images must be accurate, truthful, and not misleading.
- Prohibited items include:
- Counterfeit or replica goods
- Restricted or banned items under Indian law
- Weapons, drugs, adult content, or politically sensitive material
- Digikray reserves the right to edit, remove, or delist any product at its discretion without prior notice.
- Sellers agree not to list products that violate copyrights, trademarks, or third-party rights.
4. Pricing and Commissions
- Sellers are free to set product prices, but Digikray may suggest or adjust pricing during promotional campaigns or discounts.
- The seller agrees to pay Digikray a commission or service fee (as communicated from time to time) for every successful sale.
- Digikray reserves the right to revise commission rates or add service fees (e.g., transaction fees, logistics charges) at any time without notice.
- In case of refund, cancellation, or dispute, Digikray may deduct applicable fees before remitting payment to the seller.
5. Order Fulfillment and Shipping
- Sellers are responsible for:
- Proper product packaging
- Timely handover to Digikray’s logistics partner
- Ensuring items match the listing description
- Orders must be shipped within the defined dispatch time (usually 1–3 business days).
- Failure to ship orders repeatedly may result in temporary or permanent account suspension.
- If the seller opts for self-shipping, full responsibility for delivery, damages, and lost shipments lies with the seller.
- Digikray reserves the right to hold or adjust payments in case of customer complaints or delivery failures.
6. Payments and Settlements
- Payments to sellers will be made only after successful delivery and customer confirmation.
- Digikray follows a payment settlement cycle of 7–15 working days after delivery, subject to order verification.
- Any refunds, chargebacks, or penalties will be deducted before releasing the seller’s payment.
- The seller is responsible for paying all applicable taxes, GST, and statutory dues.
- Digikray may withhold or delay payment if fraudulent activity, disputes, or compliance issues are detected.
7. Returns, Refunds, and Replacements
- Sellers must comply with Digikray’s Return & Refund Policy.
- If a buyer returns a product due to damage, defect, or mismatch, the seller must accept the return and bear associated costs.
- If the return is due to buyer error (e.g., wrong order), Digikray may still recover reverse logistics fees from the seller if required.
- Refunds will be processed only after seller approval and product inspection, but Digikray’s decision shall be final and binding.
- Sellers cannot directly contact buyers regarding returns or disputes without Digikray’s written permission.
8. Seller Conduct and Compliance
- Sellers must maintain professional behavior and avoid misusing customer data.
- Sharing customer contact information, sending unsolicited messages, or attempting direct sales outside the platform is strictly prohibited.
- Any attempt to manipulate reviews, ratings, or system data will lead to account termination.
- Sellers must comply with all Indian e-commerce, consumer protection, and taxation laws.
- Digikray has the right to share seller data with authorities in case of legal or compliance requirements.
9. Intellectual Property and Brand Usage
- All platform content, logos, and technology belong exclusively to Digikray.
- Sellers are not permitted to use Digikray’s name, trademarks, or branding for independent promotions without written consent.
- Sellers grant Digikray a non-exclusive license to use product images and details for marketing or advertising purposes.
10. Account Suspension or Termination
Digikray may suspend or permanently terminate a seller account for reasons including:
- Listing fake or prohibited items
- Repeated late shipments or delivery failures
- Fraudulent transactions or chargebacks
- Violation of policies or poor customer ratings
- Legal non-compliance or misuse of platform privileges
In such cases:
- Pending payments may be withheld or forfeited
- Seller access to the dashboard will be restricted
- Legal action may be taken for damages or loss caused to Digikray
All termination decisions by Digikray are final and non-contestable.
11. Limitation of Liability
- Digikray acts only as an intermediary between sellers and buyers.
- The company is not liable for:
- Product quality, authenticity, or performance
- Seller’s legal or tax obligations
- Customer disputes or delivery damages
- The seller agrees to indemnify and hold Digikray harmless from all claims, losses, or expenses arising out of seller actions, negligence, or product defects.
12. Data and Confidentiality
- All seller and buyer data collected through Digikray remain the exclusive property of the company.
- Sellers must not share, copy, or misuse any customer information obtained through Digikray.
- Any violation of confidentiality will lead to immediate account termination and possible legal proceedings.
13. Dispute Resolution
- All disputes between sellers and Digikray shall be resolved through email communication first (info@digikray.com).
- If unresolved, disputes will be subject to the laws of India and the exclusive jurisdiction of courts in [Insert City, e.g., New Delhi].
- Digikray’s decision regarding disputes, payments, or policy interpretation shall be final and binding.
14. Policy Modification and Updates
